1. Application of These Terms

1.1 These Terms & Conditions (the “Terms”) govern the provision of repair services, including parts and labour (the “Services”), by Clementine Ltd (“Clementine,” “we,” “us,” or “our”).

1.2 Clementine Ltd is registered in England and Wales under company number 12306828, with its registered office at The Town Hall, High Street East, Wallsend, North Tyneside, NE28 7AT.

1.3 By engaging our Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms.

1.4 We reserve the right to update or amend these Terms at any time. Any changes will not affect Services already agreed or undertaken.

2. Scope of Services

2.1 These Terms apply to all orders placed via telephone, email, or through our website.

2.2 You must be at least 18 years old and a UK resident to place an order with us.

2.3 The Terms in force at the time of booking will apply to that specific order.

2.4 The specific scope of work or repair may be detailed in a separate quotation provided by Clementine.

3. Pricing and Payment

3.1 Prices for Services will be confirmed at the time of booking by telephone, email, or via our website.

3.2 All prices include VAT (where applicable) at the prevailing UK rate.

3.4 Any additional parts or labour will be quoted separately before work continues.

3.5 A deposit is required at the time of booking unless otherwise agreed in writing. The value of this deposit will be decided on a case-by-case basis depending on work required.

3.6 The final balance is payable immediately after work being completed, with a grace period of 5 days.

3.7 Late payments will be subject to a late fee of 10% per 5 working days.

4. Service Delivery and Work on Site

4.1 We will make all reasonable efforts to complete repairs on the first visit, but this cannot be guaranteed.

4.2 If further visits or additional parts are required, we will provide an updated quote. A call-out charge will still apply.

4.3 If parts are required, they will be ordered as quickly as possible. Lead times depend on supplier availability.

4.4 The Client shall provide uninterrupted access to the work area and ensure it is free from clutter and hazards.

4.5 We will use reasonable efforts to minimise disruption to the Client’s property during the work.

5. Materials, Repairs, and Guarantees

5.1 All completed repairs are guaranteed for 30 days (parts and labour) from the date of completion.

5.2 This guarantee covers only the parts fitted and work carried out during the repair.

5.3 The guarantee does not cover:

– New or unrelated faults developing after the initial repair;

– Issues caused by misuse, accidental damage, or neglect;

– Parts supplied by the Client or third parties.

5.4 If the same fault reoccurs within the guarantee period, we will rectify the issue at no additional cost.

5.5 All materials used will meet relevant industry standards, and material warranties are subject to manufacturer terms.

6. Customer Responsibilities

6.1 You must provide accurate information about the fault before the engineer’s visit.

6.2 You must allow safe access to your property at the agreed time.

6.3 Missed appointments or lack of access will incur a call-out charge equivalent to the service charge.

6.4 Cancellations within 24 hours of the appointment will incur a charge of 50% of the service charge. If a deposit has been paid, this will be retained and used as part of the 50% charge.

7. Permits and Inspections

7.1 The Client is responsible for obtaining any necessary permits or approvals for the work.

7.2 Clementine will arrange required electrical inspections where applicable.

8. Liability

8.1 Clementine will carry out all work with reasonable skill and care in accordance with industry standards.

8.2 Our liability is limited to the cost of rectifying defective workmanship or replacing defective materials.

8.3 We are not liable for:

– Consequential or indirect losses;

– Delays caused by suppliers or third parties;

– Pre-existing faults not identified during diagnostics.

8.4 Nothing in these Terms excludes liability for death, personal injury, fraud, or your statutory rights under UK consumer law.

9. Insurance

9.1 Clementine carries general liability insurance and workers’ compensation insurance.

9.2 The Client is responsible for maintaining their own property insurance.

10. Termination

10.1 Either party may terminate this agreement with written notice in the event of a breach of contract.

10.2 If terminated, the Client is responsible for all work completed and costs incurred up to the termination date.

11. Governing Law

This agreement shall be governed by and construed in accordance with the laws of England and Wales.

12. Dispute Resolution

Any disputes arising out of this agreement shall be resolved through [dispute resolution method, e.g., mediation, arbitration].

13. Entire Agreement

This agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous communications or agreements, whether oral or written.

14. Severability

If any provision of this agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect
